newbie catalytic converter question

Hi all .
I am new to these forums . I hope somebody can give me some advice .

i need to replace my catalytic converter on my mazda atenza 2002 . now it has 2 sensors on the catalytic converter . what's the best (cheapest ) way to do this ? what will happen if the 2nd sensor is removed ?

The people at the exhaust place was not sure how to proceed since this has the 2nd sensor .
