Reasonable OTD for Mazda2 Touring Automatic in San Jose Area?

Hello, I'm buying my first car ever so very intimidated :-( I've talked with a dealer in San Jose area, and this guy gave me this quote for Mazda2 Touring
Automatic:
MSRP: $17,845.00
Selling price: $16,392.00
Taxes: $1,441.30
Licenses and DMV: $313.75
Total savings: $1,453.00
Total OTD: $18,147.05

TrueCar says the factory invoice is $17,875, average paid is $17,075 and TrueCar price is $14,475. What is reasonable OTD in June? Should I wait for any rebate or cash-down targeting July 4th deal?

Another question: I don't really understand how TrueCar numbers mean. It doesn't include taxes/licenses/dmv. However, the gap between Factory invoice and TrueCar price is too big, why is it like that? Which one should I use a reference when negotiating? I honestly don't know, but I guess I can negotiate to match either OTD=average paid, or Selling price=TrueCar price. Does it sound ok? Sorry for these dumb questions, but I'd appreciate if you guys give me some advices. Thanks a lot!
 
$18,147 sounds a little on the high side of total OTD. I would suggest trying to negotiate and bring down your total OTD by $1,000.

Find a Truecar dealer near you on the site, and an invoice will be sent to you and to the truecar dealership salesman. All you have to do is show up at the dealer, sign, and pay the price on that invoice. It's that easy. I did it with two cars last year from the same "truecar salesman". One was financed, the other was cash. DO NOT pay more than the truecar price, some people around here have even paid less.

One more thing...there will be some type of dealer fee, mine was 2 or 300. Not a big deal considering the big discount and painless process. You'll still get the dealer incentives, and in the case of my wife's Mazda 5 we paid even less then the number on the truecar invoice.

Thank you very much for you advice. To make sure, the TrueCar price is the dealer's selling price. So for OTD, i have to add tax, license, and DMV, and other possible dealer fee. Am I correct?

I paid 16,700 OTD for my manual one in Sacramento when I bought it a bit over a year ago. I don't see paying more than 17.5k being reasonable, and if Truecar says 14.5k you should be somewhere closer to what I paid OTD.
 
Try looking at dublin mazda, thats where I got my car 2yrs ago I got a 500 mazda discount couldnt get a dealer discount but they gave me a discount on accessories thats been added to the car which is aboug 700
