2.3 L3 VE Lower Engine Cover (skid plate)

i have recently purchased a 2006 Mazda 5 GT. I notice that the lower engine cover is missing. How important is it? and should I get it replaced?
 
It would be best to get it back on as soon as possible. Espec where you are, the lower engine bay covers can help keep mud, snow, excess water from getting into the engine bay. It also does add some (mostly sacrificial) protection to the lower parts of your engine (read: oil pan). Likely worth it in the long run.

I was also thinking that it might change the engine noise (it was actually called a sound dampening pan on my VW).

You need one put in ASAP especially in Regina where there are snow ruts in the middle of the roads. Bottom of the engine, there could be electrical cables. The Block heater cabling for one is somewhere down there.
