rubbing, yes or no?

will these rims fit without rubbing? I am going to be running 205/45R17 tires. These are the ones I am looking at as of right now.

pretty sure the bottom ones wont fit, offset is to low, I think the top will just make it with the +42 offset, and 40 series rubber. Good looking wheels :) , but a little heavy I think??
 
I don't know squat about rims. What is the offset? what is the diff. between a 40 tire and a 45 tire? please help, I'm stupid!!
 
Not real good at explaining the offset, but I do understand it. I'll let someone else do that for you.
As for 40 vs. 45 series tires, it's called an aspect ratio, which means a percentage. If you run a (theoretical for easy numbers) 200/40/17 tire, the tread is 200mm across, 80mm sidewalls (40% of 200), on a 17" rim. Now, with similar dimensions, if you run a 200/45/17, you would still have the same 200mm tread, but a 90mm sidewall (45% of 200) on a 17" rim.
